These Terms and Conditions ("Terms") govern access to and use of the website gtsuite.co and related services ("Services") provided by GTSoftware di Giancarlo Thiella ("Company", "we", "us", "our").
By accessing the Services, you confirm that you have read, understood and accepted these Terms. If you do not accept the Terms, you must not access the Services.

We operate the website gtsuite.co and other related products and services that refer to these Terms.
2. Our Services
Information provided through the Services is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to applicable law. Those who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws.
3. Intellectual Property Rights
Our intellectual property
We are the owner or licensee of all intellectual property rights in the Services, including source code, databases, functionality, software, website design, text, photographs and graphics ("Content"), as well as trademarks, logos and distinguishing marks ("Marks"). Content and Marks are protected under Italian and European intellectual property law.

By sending us suggestions, feedback or other content ("Submissions"), you agree to assign all intellectual property rights in such Submissions to us. You are solely responsible for your Submissions.

By using the Services, you represent and warrant that: (1) all registration information is true, accurate, current and complete; (2) you will keep it updated; (3) you have legal capacity to accept these Terms; (4) you are not a minor in your jurisdiction of residence; (5) you will not access the Services via automated means; (6) you will not use the Services for illegal purposes; (7) your use will not violate applicable law.
5. User Registration
Some Services require registration. You agree to keep your password confidential and are responsible for all use of your account. We reserve the right to remove or change inappropriate usernames.
6. Purchases and Payment
All purchases are final and non-refundable unless otherwise agreed in writing. You agree to provide accurate purchase information and keep it updated. We reserve the right to correct pricing errors and refuse orders.
7. Prohibited Activities
The Services may only be used for their intended purpose. Prohibited activities include, without limitation:
- Systematically collecting data without written authorisation
- Deceiving or misleading other users or the Company
- Circumventing security features
- Uploading or transmitting viruses or malware
- Unauthorised scraping, data mining or bot use
- Impersonating other users or persons
- Using the Services for unauthorised commercial purposes or to compete with the Company
- Harassing, intimidating or threatening Company staff
- Violating applicable laws or regulations
8. User Contributions
By submitting content through the Services, you warrant that: such content does not infringe third-party rights; you hold the necessary licences; the content is not false, misleading, obscene, offensive or illegal; the content does not contain malware or unauthorised data collection mechanisms.
9. Contribution Licence
You retain full ownership of your Contributions. By submitting feedback or suggestions, you agree that the Company may use them for any purpose without compensation.
10. Services Management
The Company reserves the right to: monitor the Services for compliance; take legal action against violators; remove inappropriate content; manage the Services to protect its rights and ensure proper functioning.
11. Privacy Policy
We care about data privacy and security. By using the Services, you agree to our Privacy Notice. The Services are hosted in Europe (Germany). If you access from other regions, you consent to data transfer and processing as described in the Privacy Notice.
12. Term and Termination
These Terms remain in force for the duration of your use of the Services. We reserve the right to deny access, suspend or delete accounts at our sole discretion, without notice, for breach of these Terms or applicable law. Upon termination, you may not re-register without prior written authorisation.
13. Modifications and Interruptions
We reserve the right to modify, suspend or discontinue the Services at any time without notice. We will not be liable for any interruption or unavailability of the Services.
14. Governing Law
These Terms are governed by and construed in accordance with Italian law. Consumers resident in the European Union additionally benefit from the mandatory provisions of the law of their country of residence. The Company and you agree to submit to the non-exclusive jurisdiction of the Court of Oristano (OR), Italy, without prejudice to the consumer's right to bring proceedings before the courts of their place of residence.
15. Dispute Resolution
Informal Negotiations
Before initiating any proceedings, the Parties shall attempt to resolve the dispute amicably within thirty (30) days of written notice from one Party to the other.
Binding Arbitration
If informal negotiation is unsuccessful, disputes shall be resolved by arbitration under the Rules of the National and International Chamber of Arbitration of Milan, seated in Oristano (OR), proceedings in Italian, applicable substantive law: Italian law.
Exceptions
Excluded from arbitration: disputes relating to intellectual property rights, claims for injunctive relief, and claims relating to theft, privacy violation or unauthorised access.
16. Corrections
We reserve the right to correct typographical errors, inaccuracies or omissions in the Services at any time without prior notice.
17. Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THE ACCURACY OR COMPLETENESS OF THE CONTENT OF THE SERVICES.
18. Limitations of Liability
IN NO EVENT SHALL THE COMPANY, ITS DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, ARISING FROM YOUR USE OF THE SERVICES. LIMITATIONS OF LIABILITY APPLY TO THE FULLEST EXTENT PERMITTED BY ITALIAN LAW.
19. Indemnification
You agree to defend, indemnify and hold harmless the Company, its collaborators, agents and employees from any loss, damage, claim or expense (including reasonable legal fees) arising from: (1) use of the Services; (2) breach of these Terms; (3) violation of third-party rights; (4) harmful conduct towards other users.
20. User Data
We maintain certain data you transmit to the Services for the purpose of managing their performance. Although we perform regular backups, you are solely responsible for data you transmit. The Company shall not be liable for loss or corruption of such data.
21. Electronic Communications
Visiting the site, sending e-mails and completing online forms constitute electronic communications. You consent to receive electronic communications and acknowledge that they satisfy any legal requirement for written form.
22. Miscellaneous
These Terms, together with any policies posted on the Services, constitute the entire agreement between you and the Company. Our failure to exercise any right does not constitute a waiver. If any provision is found unlawful or unenforceable, the remaining provisions remain in force. No employment, partnership or agency relationship is created between you and the Company.
